Terms of Service

Effective June 15, 2026

These Terms of Service ("Terms") govern your use of the website samautomate.com and any services ("Services") provided by Afolabi Dolapo Samuel, trading as "samautomate" ("we", "us", "our"). By purchasing or using our Services, you ("Client") agree to these Terms.

1. Services

samautomate provides website design and redesign, business automation, and lead generation services. The exact scope, deliverables, timeline, and price for each engagement are described in a written proposal or order confirmation ("Order"). The Order, together with these Terms, forms the agreement between the parties.

2. Fees, Billing & Payment

• All fees are quoted in United States Dollars (USD) unless stated otherwise.
• Project work is invoiced 50% on kickoff and 50% on launch unless the Order states otherwise.
• Monthly retainers are billed in advance on the 1st of each calendar month.
• Payments are processed by third-party payment processors (including Stripe). By submitting payment information, you agree to the processor's terms and authorize us to charge the agreed amount.
• Invoices are due on receipt. Overdue invoices may incur a 1.5% monthly late fee and suspension of Services.
• You are responsible for any applicable taxes, duties, or bank fees.

3. Client Responsibilities

• Provide timely access to assets, accounts, and decision-makers.
• Review deliverables and provide feedback within agreed timelines.
• Ensure that all materials you supply (text, images, logos, data) do not infringe third-party rights and comply with applicable law.

4. Deliverables & Ownership

On full payment, Client receives ownership of the final, custom deliverables produced specifically for Client. samautomate retains ownership of pre-existing tools, frameworks, templates, and know-how, and grants Client a perpetual, non-exclusive license to use them as embedded in the deliverables. samautomate may display non-confidential work in its portfolio unless Client opts out in writing.

5. Revisions & Change Requests

Each Order includes a defined number of revision rounds. Additional work, expanded scope, or new features will be quoted as a change order and billed separately.

6. Refunds & Cancellation

Refunds and cancellation are governed by our Refund Policy, which is incorporated into these Terms by reference.

7. Third-Party Services

Deliverables may integrate with or depend on third-party services (e.g. hosting providers, payment processors, CRM, email, analytics). Client is responsible for any subscription fees, terms, or conditions imposed by those third parties. samautomate is not liable for outages, changes, or discontinuation of third-party services.

8. Confidentiality

Each party agrees to keep the other party's non-public business information confidential and to use it only for the purpose of performing under this agreement.

9. Warranties & Disclaimers

samautomate will perform the Services in a professional and workmanlike manner. EXCEPT AS EXPRESSLY STATED, THE SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. samautomate does not guarantee specific business outcomes, search engine rankings, lead volume, or revenue results.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, samautomate's total aggregate liability arising out of or relating to the Services shall not exceed the fees paid by Client to samautomate in the three (3) months immediately preceding the event giving rise to the claim. samautomate shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption.

11. Indemnification

Client agrees to indemnify and hold samautomate harmless from any third-party claim arising from Client-supplied materials, Client's use of the deliverables, or Client's violation of these Terms or applicable law.

12. Termination

Either party may terminate a project for material breach if the breach is not cured within 14 days of written notice. Monthly retainers may be cancelled with 14 days' written notice. On termination, Client will pay for all work completed up to the termination date.

13. Acceptable Use

You may not use the Services to engage in unlawful, fraudulent, infringing, or abusive activity, or to process content that is illegal, harmful, or violates third-party rights. samautomate may refuse or suspend work that violates this section or any applicable law, including the policies of payment processors such as Stripe.

14. Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Disputes will first be addressed by good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Lagos, Nigeria.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or by posting an updated version with a new effective date. Continued use of the Services after the effective date constitutes acceptance.
